1. Acceptance of Terms

By accessing or using MatchWorx, you confirm that:

• You have the legal capacity to enter into a binding contract
• You will comply with these Terms and all applicable laws
• All information you provide is accurate, current, and complete

2. Description of Service

MatchWorx is a job matching platform connecting construction workers with employers. Our Service includes:

• Job matching based on skills, qualifications, and availability
• Profile creation and management for workers
• Job posting and candidate search for employers
• Communication tools between workers and employers
• Notifications about relevant job opportunities

2.1 For Workers

As a worker, you can:

• Create a profile with your qualifications and experience
• Browse and apply for job opportunities
• Receive job offers from potential employers
• Manage your availability and preferences

2.2 For Employers

As an employer, you can:

• Post job opportunities
• Search for qualified workers
• Contact workers directly about positions
• Manage job postings and applications

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain and update your information to keep it current
• Create a secure password and keep it confidential
• Notify us immediately of any unauthorised access

3.2 Account Responsibility

You are responsible for:

• All activities that occur under your account
• Maintaining the confidentiality of your login credentials
• Ensuring your account is not used by anyone else

3.3 Verification

We may require verification of:

• Identity documents
• Professional qualifications and certifications
• Employment history and references
• Right to work in the UK

4. User Conduct and Prohibited Activities

You agree NOT to:

• Provide false, misleading, or fraudulent information
• Impersonate any person or entity
• Use the Service for any illegal or unauthorised purpose
• Harass, abuse, or harm other users
• Post discriminatory, offensive, or inappropriate content
• Spam or solicit users for purposes outside the platform
• Scrape, data mine, or use automated tools to access the Service
• Attempt to gain unauthorised access to our systems
• Interfere with the proper functioning of the Service
• Circumvent any security features or access controls
• Use the Service to compete with MatchWorx
• Remove or modify any copyright or proprietary notices

5. Data Sharing and Consent

5.1 Worker Data Sharing

By using the Service as a worker, you explicitly agree that:

• Your profile information (name, contact details, qualifications, experience) will be shared with potential employers
• Employers can view your profile and contact you regarding job opportunities
• You may receive job offers and communications from employers
• You can control your visibility and opt-out at any time

5.2 Employer Data Use

As an employer, you agree to:

• Use worker data only for legitimate recruitment purposes
• Comply with UK data protection laws (UK GDPR, DPA 2018)
• Not share worker data with third parties without consent
• Maintain confidentiality of worker information
• Delete worker data when no longer needed for recruitment

• Sell your personal data to third parties
• Share your data with marketing companies
• Use your data for purposes unrelated to job matching

6. Intellectual Property Rights

6.1 MatchWorx Property

The Service, including all content, features, functionality, software, logos, and trademarks, is owned by MATCHWORX LIMITED and protected by copyright, trademark, and other intellectual property laws.

6.2 User Content

You retain ownership of content you submit (profile information, CVs, etc.). However, you grant MatchWorx a worldwide, non-exclusive, royalty-free licence to use, store, display, and distribute your content solely for the purpose of providing the Service.

6.3 Licence to Use

We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your personal or business use, subject to these Terms.

7. Fees and Payment

7.1 Worker Fees

The MatchWorx mobile application is currently free for workers. We reserve the right to introduce fees in the future with reasonable notice.

7.2 Employer Fees

Employers may be required to pay subscription fees or per-job posting fees. Specific pricing will be communicated separately.

7.3 Changes to Fees

We reserve the right to modify our fee structure at any time. We will provide at least 30 days' notice of fee changes.

8. Employment Relationships

8.1 No Employment Guarantee

We do not guarantee:

• Job placements or employment
• Specific number of job offers
• Quality or suitability of job opportunities
• Wages, working conditions, or benefits

8.2 Independent Verification

Users are responsible for:

• Verifying the legitimacy of employers and workers
• Conducting background checks and reference checks
• Negotiating employment terms directly
• Ensuring compliance with employment laws
• Resolving any disputes independently

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Fitness for a particular purpose
• Accuracy, reliability, or completeness of information
• Uninterrupted or error-free operation
• Security or freedom from viruses

9.2 User Content

We do not verify, endorse, or guarantee:

• Accuracy of user profiles or qualifications
• Legitimacy of job postings
• Conduct or identity of users
• Quality of employment relationships formed

9.3 Limitation of Liability

To the maximum extent permitted by law, MATCHWORX LIMITED shall NOT be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Employment disputes or workplace incidents
• Actions or omissions of other users
• Unauthorised access to your account
• Service interruptions or technical failures

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to MatchWorx in the 12 months preceding the claim, or £100, whichever is greater.

9.4 Statutory Rights

Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded under UK law

10. Indemnification

You agree to indemnify, defend, and hold harmless MATCHWORX LIMITED, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Content you submit to the Service
• Employment relationships formed through the platform

11. Termination

11.1 By You

You may terminate your account at any time by:

• Using the account deletion feature in the app
• Contacting our support team

11.2 By Us

We may suspend or terminate your account immediately if:

• You breach these Terms
• You engage in fraudulent or illegal activity
• Your account poses a security risk
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

11.3 Effect of Termination

Upon termination:

• Your access to the Service will cease immediately
• Your profile will be removed from employer searches
• We will delete your data in accordance with our Privacy Policy
• Sections of these Terms that should survive (indemnification, disclaimers, governing law) will remain in effect

12. Modifications to the Service and Terms

12.1 Changes to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

12.2 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting updated Terms in the app
• Updating the "Last Updated" date
• Sending email notification (for significant changes)

Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

13.2 Jurisdiction

You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from or in connection with these Terms or the Service.

Before initiating legal proceedings, we encourage you to contact us to seek informal resolution of disputes.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MatchWorx regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

14.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

14.6 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control.
